1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ShareMyListing ("Company," "we," "us," or "our") governing your access to and use of the ShareMyListing website, applications, and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

ShareMyListing is a real estate social media automation platform that helps real estate professionals automatically share their property listings across social media platforms. The Service includes:

• Integration with IDX providers (IDX Broker, iHomefinder) to sync property listings
• Automatic detection of new listings and listing status changes
• Automated posting to Google Business Profile and other supported platforms
• Customizable post templates with branding options
• Post scheduling and management tools

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Be a licensed real estate professional or authorized representative of a real estate business
• Have the authority to bind yourself or your organization to these Terms
• Have valid accounts with the third-party services you wish to connect (IDX providers, Google Business Profile, etc.)
• Comply with all applicable laws and regulations in your jurisdiction

4. Account Registration

4.1 Account Creation

To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the accuracy of this information.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach.

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or any other reason at our sole discretion.

5. Third-Party Integrations

5.1 Authorization

By connecting third-party services (such as IDX Broker, iHomefinder, Google Business Profile, Facebook, or Instagram) to ShareMyListing, you:

• Authorize us to access and retrieve data from these services on your behalf
• Authorize us to post content to these services on your behalf
• Confirm that you have the right to grant such authorization
• Agree to comply with the terms of service of those third-party platforms

5.2 Third-Party Terms

Your use of third-party services through ShareMyListing is subject to the terms and policies of those services. We are not responsible for the content, privacy policies, or practices of any third-party services.

5.3 API Limitations

Third-party platforms may impose rate limits, usage restrictions, or other limitations on their APIs. We cannot guarantee uninterrupted access to these services and are not liable for any limitations or changes imposed by third parties.

6. Subscription and Payment

6.1 Subscription Plans

ShareMyListing offers subscription-based pricing with different tiers. Current pricing and features for each tier are available on our pricing page. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

6.2 Free Trial

New users may be eligible for a free trial period. At the end of the trial, you must subscribe to a paid plan to continue using the Service. Features may be limited during the trial period.

6.3 Billing

Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. By subscribing, you authorize us to charge your payment method for the subscription fee plus any applicable taxes.

6.4 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial billing periods unless required by law.

6.5 Non-Payment

If payment fails, we may suspend your access to the Service until payment is received. Continued non-payment may result in account termination.

7. Acceptable Use

7.1 Permitted Use

You may use the Service only for lawful purposes related to your real estate business.

7.2 Prohibited Conduct

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Post false, misleading, or fraudulent property information
• Violate fair housing laws or engage in discriminatory practices
• Post spam, inappropriate content, or harass others
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated systems or bots to access the Service (beyond the features we provide)
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell or redistribute access to the Service without authorization
• Interfere with or disrupt the Service or servers
• Use the Service to send unsolicited commercial communications

8. User Content

8.1 Your Content

You retain ownership of content you provide to the Service, including custom templates, branding information, and settings. By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content solely for the purpose of providing the Service.

8.2 Listing Data

Property listing data synced from your IDX provider remains the property of the relevant MLS and is subject to their rules and regulations. You are responsible for ensuring your use of listing data complies with MLS rules.

8.3 Responsibility for Content

You are solely responsible for all content posted through your account, including ensuring it is accurate, complies with all applicable laws, and does not infringe on any third-party rights.

9. Intellectual Property

9.1 Our Property

The Service, including its design, features, functionality, and content (excluding User Content), is owned by ShareMyListing and is protected by copyright, trademark, and other intellectual property laws.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or business purposes, subject to these Terms. This license does not include any right to modify, copy, distribute, or create derivative works of the Service.

9.3 Feedback

If you provide suggestions, ideas, or other feedback about the Service, we may use and incorporate such feedback without any obligation to compensate you.

10. Disclaimers

10.2 No Guarantee

We do not guarantee that:

• The Service will be uninterrupted, secure, or error-free
• Results obtained from using the Service will be accurate or reliable
• Third-party integrations will always be available or function correctly
• Posts will be delivered to all intended platforms
• The Service will meet your specific requirements

10.3 Third-Party Services

We are not responsible for any third-party services, their content, privacy policies, or practices. Changes to third-party APIs or services may affect the functionality of ShareMyListing.

You agree to indemnify, defend, and hold harmless ShareMyListing and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable laws or third-party rights
• Content posted through your account
• Your relationship with third-party services connected through ShareMyListing

13. Modifications to Service and Terms

13.1 Service Changes

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.

13.2 Terms Changes

We may revise these Terms from time to time. Material changes will be communicated via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Termination

14.1 By You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Service will immediately cease.

14.2 By Us

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

14.3 Effect of Termination

Upon termination, your license to use the Service ends. We may delete your account data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, and indemnification obligations.

15. Dispute Resolution

15.1 Informal Resolution

Before filing any formal claim, you agree to first contact us to attempt to resolve any dispute informally. Most disputes can be resolved quickly through direct communication.

15.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.

15.3 Jurisdiction

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Australia.

16. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ShareMyListing regarding the Service.
• Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision or our right to enforce it.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Assignment: You may not assign these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
• No Agency: Nothing in these Terms creates any agency, partnership, or joint venture between you and ShareMyListing.
